Warburg Pincus to Acquire Total Safety

September 7, 2011 - Total Safety, the premier global outsourced provider of integrated safety and compliance solutions to clients operating in hazardous environments, today announced that Warburg Pincus, a leading global private equity firm, has reached a definitive agreement to acquire Total Safety from DLJ Merchant Banking Partners.

Total Safety Acquires Oilfield Safety and Western Fire

August 3, 2011 - Total Safety, the leading global provider of integrated safety services and compliance solutions, announced today it has acquired Oilfield Safety, Inc. (“OSI”) based in Williston, North Dakota and Western Fire & Safety, Inc., (“Western”) based in Dickinson, North Dakota.  With over twenty years of customer service each, the companies will add to Total Safety’s Williston Basin presence through additional air, gas, and fire services. OSI provides critical safety services to the upstream energy markets including air, gas, and fire services to complement their equipment rental fleet.  Western complements the portfolio with a focus on fire services (fixed and portable systems) and personal protective equipment to both the up- and midstream energy markets and various fire departments across North Dakota.

June27, 2011 - Total Safety, the leading global provider of integrated industrial safety services and compliance solutions, announced that it has acquired S&H Services, providers of safety consultants to the oil and gas industry, with a concentration in pipelines.

Total Safety acquires On.Site Advanced Medical Services, a remote medical services and occupational healthcare services company in Alberta and Bristish Columbia, Canada.

March 29, 2011 - Total Safety has acquired On.Site Advanced Medical Services, Inc. based in Grand Prairie, Alberta, Canada.

Founded in 2002, On.Site is a recognized leader in remote mobile medical services and occupational healthcare. On.Site provides medical technicians, mobile treatment centers, ambulances and training for industrial and upstream oil and gas clients across Alberta and British Columbia, Canada.

Total Safety Acquires Webb, Murray & Associates

March 23, 2011 - Total Safety has acquired all of the assets and ongoing business of Webb, Murray & Associates, Inc., a Houston-based fire protection and safety services company, and will operate the assets under the name "Webb-Murray."

Founded in 1974, Webb, Murray & Associates is a recognized leader in risk management, fire and safety systems design, installation, testing and inspection services for the refining, chemical and petrochemical markets in the U.S. The company's core services include process hazard analysis, consequence assessment, risk evaluation, root cause analysis, industrial hygiene, PSM and RMP implementation, OSHA VPP consultation, safety procedure development, and active and passive fire protection systems design, installation, maintenance and testing.

January 25, 2011 - Total Safety has acquired Pacific Environmental Consulting, a British Columbia-based industrial hygiene, occupational safety and environmental consulting firm, serving the Western Canadian Market.

Founded in 1990, Pacific Environmental Consulting is headquartered in Vancouver, Canada and provides engineering and consulting services focused on worker health and safety. Those services incorporate Canadian Centre for Occupational Health and Safety ("CCOHS")/Provincial Workers Compensation Board ("WCP") regulatory requirements in the delivery of workplace environmental and industrial hygiene consulting services to a wide range of customers in Western Canada.

Its core industrial competencies include worker worker exposure monitoring, air quality assessments, laboratory analysis and chemical safety audits. Pacific also handles environmental consulting and assessments, hazardous materials audits, worker training programs, health and safety audits, confined space audits, fall protection programs and workplace regulation reviews in consultation with regulatory authorities.

Founded in 1991, Scotsafe provides a variety of safety equipment and services including gas detection systems and equipment, breathing air, fit testing and other critical safety systems and personnel for both the land-based and offshore energy industry in the North Sea market from its office in Aberdeen, Scotland.

March 12, 2010 - Total Safety has acquired Houston 2-Way Radio (H2WR), a leading supplier of Motorola radio communications equipment and services for the greater Houston area.

Founded in 1990, H2WR provides sales, service and rental of Motorola radio communications equipment. H2WR is an Authorized Motorola 2-Way Radio Dealer, Authorized Motorola Federal Agent, Authorized Motorola State and Local Government Manufacturer's Representative and Authorized Motorola Service Shop (MSS). In addition, H2WR is also staffed and trained to repair other major brands.

This acquisition allows Total Safety to further expand and enhance our existing communications line of business throughout North America. H2WR's customer base currently encompasses a variety of industries, like healthcare and local and federal government, where Total Safety has only a limited presence, allowing Total Safety to extend our current communications offerings.

Wholesale Radio Rental provides intrinsically safe portable communications systems to a wide variety of industries concentrating primarily in the energy sector. Applications include maintenance shutdowns, turnaround services and unit start-ups.

Founded in 1981, Callaway Safety Equipment offers sales, rental, inspection, repair and maintenance of safety equipment, site safety professional, safety training for oilfield and industrial applications. The company also provides services relating to drilling, completion, workover, plant/refinery shutdowns and turnarounds, natural gas processing plants and pipeline construction.

August 1, 2007 - Total Safety has acquired Breathing Equipment Hire Limited (BEH LTD), of Knottingley, England, a provider of quality safety services to the downstream sector in the United Kingdom. The primary services offered by BEH are rental, inspection, repair and maintenance of respiratory protection and gas detection equipment, as well as turnaround support services to the refining and petrochemical  industries.

The acquisition of BEH provides Total Safety an established presence in the European downstream safety services business. BEH‘s customer base is comprised of major United Kingdom refiners and petrochemical manufacturers including many of Total Safety’s current multi-national customers.

June 15, 2007 - Total Safety acquired Payne Services, Inc., a professional safety services company that provides confined space attendants, fire watch, and safety services and personnel to the Upstream and Downstream Industries in the United States.

Founded in 1989, Payne Services' primary lines of business include safety personnel and observers, confined space attendants, safety training and contract industrial hygienists.

Total Safety Acquires Sola Safety and Controls Division

July 31, 2006 - Total Safety has acquired  the assets of the Sola Safety and Controls Division from Sola Communications, LLC. Sola Communications, LLC, which is owned by an affiliate of H.I.G Capital, will remain an independent company focusing on communication services.

Sola provides quality safety services to the upstream sector in the Gulf of Mexico. The primary services offered by the division are sales, service, installation and maintenance of H2S detection and respiratory systems, fire suppression and detection systems, and aids to navigation.
