Total Safety Welcomes Inter-Mountain Safety Company, Inc. (IMS) to the Family

On August 3, 2007, Total Safety completed the acquisition of Inter-Mountain Safety Company, Inc. (IMS) a provider of comprehensive safety services to the oil and gas industry in the Rocky Mountain region of the United States. The primary service offerings include hydrogen sulfide (H2S) protection services, site safety professionals, the sales, rental, inspection, repair and maintenance of respiratory protection and gas detection equipment as well as safety training to the upstream sector.

Total Safety Welcomes Breathing Equipment Hire Limited (BEH) to the Family

Houston – August 1, 2007

On August 1, 2007, Total Safety completed the acquisition of Breathing Equipment Hire Limited (BEH LTD), of Knottingley, England. BEH is a provider of quality safety services to the downstream sector in the United Kingdom. The primary services offered by BEH are rental, inspection, repair and maintenance of respiratory protection, and gas detection equipment as well as turnaround support services to the refining and petrochemical industries.

The acquisition of BEH provides Total Safety an established presence in the European downstream safety services business. BEH‘s customer base is comprised of major United Kingdom refiners and petrochemical manufacturers including many of Total Safety’s current multi-national customers.

On June 15th, Total Safety U.S., Inc. acquired Payne Services, Inc. (PSI). Payne Services’ primary  lines  of  business  include  safety personnel and staff, confined space attendants,  safety training, and contract industrial hygienists.  The  company was founded in 1989 and has service  locations in Donaldsonville, LA,  Pasadena, TX, and  Corpus Christi, TX,  which  further complements Total Safety’s  presence on the Gulf Coast.

Total Safety Announces CFO Appointment

Total Safety announces the addition of Dennis Turnipseed as Senior Vice President and Chief Financial Officer.  He will be responsible for Accounting and Financial Reporting, Corporate Planning and Budgeting, Cash Management, Asset Management, Credit and Collections, Tax, and Accounts Receivables and Payables.  Dennis will be working with each of these departments to ensure  all strategies and plans are aligned with the overall company goals as we continue to grow.  

Dennis brings a wealth of experience in the financial arena and also has both upstream and downstream experience.  He has been the CFO of a national mechanical contractor and most recently the CFO of an international seismic company’s western hemisphere business unit.

Jim is very familiar with the industries and customers we serve, having led IT and human resource organizations for an oil and gas company and an international industrial service company prior to joining Total Safety.

DLJ Merchant Banking Partners completes acquisition of Total Safety U.S., Inc.

DLJ Merchant Banking Partners, a private equity investment affiliate of Credit Suisse, announced today that it has completed its acquisition of Total Safety U.S., Inc. (“Total Safety” or the “Company”) from H.I.G. Capital LLC.  Total Safety is the leading outsourced provider of mission-critical industrial safety services and equipment to the refining, petrochemical, upstream and general industrial markets.  Headquartered in Houston, Texas, Total Safety serves a diverse global customer base either on-site or through one of its 27 regional centers.  The Company combines a comprehensive suite of safety products for sale or rent with a range of value added services to offer facilities a single outsourced solution for their safety needs.  The Company’s primary products include respiratory protection equipment, gas detection and monitoring devices, fire suppression equipment and general training services.  Within each of the product lines, the Company provides a variety of services including repair, inspection and preventative maintenance that improve safety compliance levels.  The Company, with approximately $110 million in annual sales, has recently accelerated its growth profile through geographic expansion and strategic acquisitions.  Terms of the transaction were not disclosed.
